Key Dates to Remember

  • Effective Date: January 1, 2024

For Existing Entities (Formed Before January 1, 2024):

For New Entities (Formed On or After January 1, 2024):

  • Filing Deadline: Within 30 Days of Formation or Registration
  • Newly formed entities must file their BOI report within 30 calendar days.

Who Must File?

Reporting Companies Include:

  • Domestic Entities: Corporations, Limited Liability Companies (LLCs), and other entities created by filing with a Secretary of State or similar office.
  • Foreign Entities: Companies registered to do business in the U.S.

Exemptions:

Certain entities are exempt from BOI reporting, including:

  • Publicly traded companies

  • Date of Birth
  • Residential Street Address

Who is a Beneficial Owner?

An individual who:

  • Exercises Substantial Control over the company, or
  • Owns or Controls at least 25% of the company’s ownership interests.

Step-by-Step Guide to Filing Your BOI Report

1. Gather Required Information

Collect all necessary details and documents for your company and each beneficial owner:

  • Identification documents (e.g., driver’s licenses, passports)
  • Social Security Numbers or TINs
  • Contact information

2. Access the FinCEN Filing Portal

Visit the FinCEN BOI Filing Portal to begin the reporting process.

3. Create an Account

If you don’t already have an account, you’ll need to create one:

  • Provide your email address
  • Set up a secure password
  • Verify your account via email confirmation
